1. Introduction
Welcome to Rank Capture Grow LLC, operating as WillowVM ("WillowVM," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our AI-powered voicemail intelligence platform and related services (the "Services").
By accessing or using our Services, you ("Subscriber," "Client," "you," or "your") agree to be bound by these Terms. If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you may not access or use the Services.
2. Service Description
WillowVM provides automated voicemail intelligence delivered through our AI-powered processing engine ("Willow") designed for:
- Voicemail transcription and summarization
- Urgency classification and triage (5-tier system)
- SMS and email notification delivery to designated contacts
- Voicemail portal with audio playback, transcripts, and audit trail
The Services process voicemails left by callers on your dedicated Willow phone line. Callers interact with a standard voicemail greeting and voluntarily leave a recorded message. Willow processes the recording after the caller hangs up — transcribing, classifying, and delivering the summary to your designated contacts. Willow does not interact with callers in real time.
3. Eligibility
To use the Services, you must:
- Be at least 18 years of age
- Be authorized to bind the business or entity on whose behalf you are using the Services
- Operate a legitimate business within the United States
- Not have been previously suspended or removed from the Services
- Comply with all applicable federal, state, and local laws and regulations
- Not operate in a prohibited industry (see Section 9)
4. Account Registration
To access the Services, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the accuracy of your account information
- Safeguarding your account credentials
- All activities that occur under your account
- Notifying WillowVM immediately of any unauthorized use of your account
5. Business Verification
WillowVM reserves the right to request business verification documents from you at any time, including government-issued identification, business registration documents, proof of business address, and EIN or tax identification verification.
If you are unable to sufficiently comply in a reasonable timeframe and in a manner deemed satisfactory by WillowVM, we reserve the right to suspend or terminate your access to the Services.
6. Voicemail Processing Terms
6.1 Voicemail Recording and Processing
Callers who reach your Willow phone line hear your voicemail greeting and voluntarily leave a recorded message. The caller is the author of the recording and deposits it knowingly. The recording is processed by Willow's AI engine after the caller hangs up.
6.2 Voicemail Greeting Content
You are responsible for the content of your voicemail greeting. Your greeting must comply with all applicable laws and must not contain content prohibited under Section 9 of these Terms.
6.3 Transcription Accuracy
WillowVM does not guarantee that transcriptions are 100% accurate, complete, or error-free. The Services are not a substitute for personally reviewing your voicemails.
6.4 Phone Number Ownership
All telephone numbers provisioned through the Services are owned by and registered to Rank Capture Grow LLC. Subscriber receives a non-exclusive, non-transferable license to use the assigned number solely in connection with the Services for the duration of the active subscription. Upon termination, the assigned phone number is reclaimed and may be reassigned.
6.5 Audio Storage and Retention
Voicemail audio recordings, transcripts, and associated metadata are stored securely for the duration of your active subscription and for ninety (90) days following termination or cancellation. Audio is stored encrypted at rest. After the retention period, recordings and transcripts are permanently deleted. Provisioning and audit logs are retained for three (3) years in accordance with our Privacy Policy.
6.6 Report of Record
Subscribers may generate Report of Record documents containing voicemail data for a specified date range. Reports are delivered via email to the Subscriber's verified account email address. Reports are provided for the Subscriber's internal business use. WillowVM does not represent that reports satisfy any specific regulatory, legal, audit, or compliance requirement. The Subscriber is solely responsible for determining whether any report meets their auditor's or regulator's standards.
6.7 Service Provider Access
By using the Services, you acknowledge and agree that authorized Rank Capture Grow LLC personnel may access voicemail recordings, transcripts, classification results, and processing metadata for the following purposes: service delivery and fulfillment, quality assurance and accuracy verification, technical troubleshooting and pipeline diagnostics, system integrity verification and security monitoring, and customer support at the Subscriber's request. Access is limited to personnel with a legitimate operational need and is subject to internal access controls and audit logging. WillowVM does not access voicemail content for marketing, advertising, or any purpose unrelated to service delivery and platform operations.
7. Notification Contacts
7.1 Designation Authority
You may designate up to two (2) notification contacts ("Contacts") who will receive SMS and email alerts when voicemails are processed. By designating Contacts, you represent and warrant that:
- Each Contact is an employee, owner, agent, or authorized representative of your business
- You have the authority to designate each Contact to receive operational notifications on behalf of your business
- Each Contact has been informed that they will receive SMS and email notifications from WillowVM as part of your business voicemail system
- You will promptly update or remove Contacts who are no longer authorized to receive notifications
7.2 Nature of Notifications
All SMS and email notifications sent to Contacts are operational messages related to voicemails received on your business line. WillowVM does not send marketing, promotional, or advertising messages to Contacts. Notifications are sent solely on behalf of and at the direction of the Subscriber.
7.3 Subscriber Responsibility
You are solely responsible for ensuring the accuracy of Contact information and the authority to designate each Contact. WillowVM is not liable for notifications delivered to incorrectly designated Contacts or for any claims arising from a Contact's receipt of operational notifications.
8. Subscriber Compliance Responsibility
You are solely responsible for ensuring that your use of the Services complies with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA), state privacy and consumer protection laws, industry-specific regulatory requirements, and mobile carrier terms and policies.
WillowVM provides the technology platform but does not provide legal advice.
9. Prohibited Uses
9.1 Prohibited Content (S.H.A.F.T.)
- Sex: Adult content, pornography, escort services, or sexually explicit material
- Hate: Content promoting hatred, discrimination, or violence against any group
- Alcohol: Promotion or sale of alcoholic beverages
- Firearms: Promotion or sale of weapons, ammunition, or explosives
- Tobacco: Promotion or sale of tobacco, vaping, or related products
9.2 Prohibited Industries
- Cannabis, CBD, or kratom products
- Gambling, lottery, or casino services
- Payday loans, high-interest lending, or debt collection
- Debt consolidation or credit repair programs
- Cryptocurrency promotions or investment schemes
- Multi-level marketing or pyramid schemes
- Third-party lead generation services
- Affiliate marketing or consumer data brokering
- Political campaign messaging
- Telemarketing or cold outreach
- Adult content or services
- Prescription medication sales
WillowVM reserves the right to update the list of prohibited industries at any time. Updates will be reflected in the Acceptable Use Policy and communicated to active Subscribers via email.
10. Fees and Payment
10.1 Weekly License Fee
Access to the Services requires a paid license. The standard license fee is $89 per week per line.
10.2 Commitment Paths
52-Week Contract. $89/week billed as a recurring weekly subscription. Onboarding fee is waived. 52-week commitment period. If the Subscriber terminates before the commitment period ends, the Early Termination Fee applies. At the end of the commitment period, the Subscriber selects a new commitment path to continue service.
No Contract. $89/week billed as a recurring weekly subscription. Onboarding fee is paid upfront at deployment. No commitment period. Subscriber may cancel at any time with no Early Termination Fee.
Prepaid Annual. 52 weeks of service paid upfront at the annual license rate. Onboarding fee is waived. The Prepaid Annual plan automatically renews at the then-current annual rate unless the Subscriber cancels at least fourteen (14) days before the renewal date. WillowVM will send a renewal reminder via email at least twenty-one (21) days before the renewal date. Subscribers may cancel auto-renewal at any time by contacting support@willowvm.com.
14-Day Trial. One-time payment covering setup and processing. Full access to the Services for 14 days. Trial is limited to one per business. Trial does not auto-renew. If the Subscriber does not convert to a paid commitment path before the trial expires, the Services are deactivated.
10.3 Fees
Setup Fee ($89) — Twilio number provisioning, A2P registration, custom greeting configuration, contact seat routing, urgency tier assignment for your business type, and live test verification. Non-refundable once deployment has begun.
Onboarding Fee ($799) — Access to the classification engine infrastructure: comprehensive issue catalog, dozens of supported business types, multi-tier urgency classification, carrier-grade compliance. Waived for 52-Week Contract and Prepaid Annual paths. Paid upfront for No Contract path.
Early Termination Fee (ETF) — Applies only when the onboarding fee was waived at deployment. ETF equals the waived onboarding fee ($799 for 52-Week; $499 for Prepaid Annual). A 3% payment processing surcharge is added to the ETF amount. The ETF becomes due immediately upon notice of early termination.
10.4 Payment Processing Fee
A payment processing fee of 3% per transaction applies to all payments. The payment processing fee is waived for Subscribers who provide a second form of payment on file. If the second form of payment is removed, expires without replacement, or is declined, the 3% payment processing fee resumes. The second form of payment may be charged if the primary method fails.
10.5 Payment Terms
- All fees are processed through Stripe. Full payment card data is handled exclusively by Stripe and never stored by WillowVM.
- You are responsible for all applicable taxes.
- Failed payments may result in suspension after a 7-day grace period.
- WillowVM reserves the right to adjust pricing with 30 days' advance notice. Price changes do not apply to active commitment periods.
11. Data Ownership
You retain ownership of your voicemail recordings, transcripts, notification contact information, and business data. WillowVM acts as a service provider and processes your data solely to provide the Services.
WillowVM does not sell, rent, or share customer phone numbers or voicemail content with third parties for marketing or promotional purposes.
12. Intellectual Property
The Services, including all content, features, functionality, classification engine, issue catalog, and urgency algorithms, are owned by Rank Capture Grow LLC and are protected by United States and international intellectual property laws. You may not reverse-engineer, decompile, or extract the logic of the classification engine or any component of the Services.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, WillowVM does not warrant that:
- Voicemail transcriptions will be accurate, complete, or error-free
- Urgency classifications will correctly reflect the nature or severity of a voicemail
- Notifications will be delivered within any specific timeframe
- The Services will be uninterrupted, secure, or available at all times
- The Services will meet your specific business requirements
13.1 AI-Generated Content
The Services produce machine-generated outputs including voicemail transcriptions, urgency classifications, and Report of Record documents. These outputs are derived from automated speech-to-text and AI classification systems. Accuracy varies with audio quality, caller accent, background noise, and message clarity. WillowVM does not warrant the accuracy, completeness, or fitness of any machine-generated output for any particular purpose. Subscriber is solely responsible for verifying critical information and for determining whether any report or output meets Subscriber's regulatory, legal, or audit requirements.
WillowVM is not liable for any decision, action, or outcome based on machine-generated content.
WillowVM is not a substitute for live call monitoring, live answering services, or emergency notification systems. WillowVM is not a replacement for 911 or emergency services. Do not rely on WillowVM as the sole method of receiving time-critical or safety-critical communications.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WILLOWVM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR MISSED COMMUNICATIONS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
WILLOWVM'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if WillowVM has been advised of the possibility of such damages.
15. Indemnification
You agree to indemnify, defend, and hold harmless Rank Capture Grow LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services
- Your violation of these Terms or any applicable law
- Your voicemail greeting content
- Your designation of notification Contacts
- Any claim by a third party related to notifications sent at your direction
- Any claim arising from your failure to comply with Section 7 (Notification Contacts) or Section 8 (Subscriber Compliance Responsibility)
16. Termination
16.1 Termination by You
You may cancel your subscription at any time by providing written notice to support@willowvm.com. Cancellation does not relieve you of obligations incurred prior to cancellation, including any applicable Early Termination Fee.
16.2 Termination by WillowVM
WillowVM may suspend or terminate your access to the Services immediately and without prior notice for violation of these Terms, the Acceptable Use Policy, or applicable law. WillowVM may also terminate your access for convenience with thirty (30) days' written notice.
16.3 Effect of Termination
Upon termination, your right to use the Services immediately ceases. You are responsible for deactivating call forwarding on your business phone. Upon cancellation, WillowVM will send an email with carrier-specific instructions to remove call forwarding. Failure to deactivate forwarding may result in unanswered calls being routed to a disconnected number. WillowVM is not responsible for calls lost due to forwarding that remains active after termination.
You may request export of your data (including any generated reports) within 30 days of termination. Your Willow phone number may be released for reassignment after 45 days.
17. Dispute Resolution
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to conflict of law principles.
17.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Lafayette Parish, Louisiana. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
17.3 Small Claims Exception
Notwithstanding Section 17.2, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
17.4 Class Action Waiver
YOU AND WILLOWVM AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You expressly waive the right to participate in any class action lawsuit or class-wide arbitration against WillowVM.
17.5 Opt-Out
You may opt out of the arbitration provision by sending written notice to support@willowvm.com within thirty (30) days of your first use of the Services. If you opt out, disputes will be resolved exclusively in the state or federal courts located in Lafayette Parish, Louisiana.
18. Force Majeure
WillowVM shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor disputes, power or telecommunications failures, third-party service provider outages (including Twilio, Deepgram, Stripe, or any cloud infrastructure provider), government actions, or any other event beyond WillowVM's reasonable control. During a force majeure event, WillowVM's obligations are suspended for the duration of the event.
19. Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of WillowVM. WillowVM may freely assign these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, upon written notice to the Subscriber. Any purported assignment in violation of this section is void.
20. Changes to These Terms
WillowVM reserves the right to modify these Terms at any time. We will provide at least thirty (30) days' advance notice of material changes by email to the address associated with your account. Non-material changes (such as formatting, clarification, or correction of typographical errors) may take effect immediately upon posting.
Your continued use of the Services after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Services before the effective date. Price changes do not apply to active commitment periods.

23. Severability & Entire Agreement
If any provision of these Terms is held to be unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and WillowVM and supersede all prior agreements, understandings, and representations.
